Terms of Service — Holley Studio

1. Services

Holley Studio LLC provides AI-powered website design, marketing automation, content creation, drone/photography services, and related digital consulting. Specific deliverables, timelines, and fees are defined in individual project agreements or statements of work.

2. Payment Terms

Project work requires a deposit prior to commencement. Remaining balances are due upon delivery unless otherwise specified in writing. Late payments may incur interest at 1.5% per month. Holley Studio LLC reserves the right to pause work on accounts with outstanding balances.

3. Intellectual Property

Upon receipt of full payment, clients receive ownership of final deliverables as specified in the project agreement. Holley Studio LLC retains the right to display work in its portfolio unless otherwise agreed in writing. All tools, frameworks, templates, and proprietary systems developed by Holley Studio LLC remain the property of Holley Studio LLC.

4. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary access credentials. Delays caused by client inaction may affect project timelines and are not the liability of Holley Studio LLC.

5. Limitation of Liability

To the maximum extent permitted by law, Holley Studio LLC shall not be liable for indirect, incidental, or consequential damages arising from the use of our services. Total liability shall not exceed the fees paid for the specific service giving rise to the claim.

6. Cancellation

Either party may terminate a project engagement with 14 days written notice. Deposits are non-refundable. Work completed through the cancellation date will be invoiced at the agreed rate.

7. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of Illinois. Disputes shall be resolved through binding arbitration in Cook County, Illinois, unless both parties agree otherwise in writing.

8. Changes to Terms

We may update these terms periodically. Continued use of our services after changes constitutes acceptance of the revised terms.
